1. CONSENT TO USE PERSONAL INFORMATION: By creating a GameTV Interactive Bingo Game ("GameTV Bingo") player account ("Account") and voluntarily providing your personal information (including, but not limited to your name, e-mail address, date of birth, postal code, TV Service Provider, Internet Service Provider and phone number) (collectively, "Registrant Information") you consent to GameTV's collection and use of the Registrant Information to administer GameTV Bingo. In addition, by opting-in online, you consent to (i) GameTV's use of your Registrant Information to contact you to promote draws, interactive features and games similar to GameTV Bingo, promote opportunities to subscribe to GameTV newsletters and promotional clubs, notify you about programs and special events, promote marketing initiatives from our partners (i.e. other Insight Sports Ltd. networks and select advertisers) and automatically enter you into other GameTV-sponsored draws and contests, and (ii) GameTV�s disclosure of your non-personally identifiable Registrant Information to your TV Service Provider and/or Internet Service Provider in an aggregated manner (collectively, the "Additional Uses"). Your consent to the Additional Uses may be revoked at any time (without revoking your participation in GameTV Bingo or impairing your chances of winning) by submitting an e-mail with "unsubscribe" in the subject line to info@igametv.com or by writing to GameTV at the address set out below. Except as may otherwise be set out in the GameTV Privacy Policy and as may otherwise be required by law, your Registrant Information will not be disclosed or transferred to any third party without your consent.

2. GAME PERIOD:

a) NO PURCHASE NECESSARY. GameTV Bingo shall run every day (each, a "Game Day") from 12:00 a.m. (EST) until 11:59 p.m. (EST) from October 28th, 2009, until December 31st, 2009, inclusive (the "Game Period"). On average, there will be between six (6) and eight (8) GameTV Bingo games (each, a "Game") played each hour during the Game Period. The GameTV Bingo website (www.igametv.com/bingo) will display a countdown informing GameTV Bingo players as to when the next Game will commence. Generally, there will be three (3) to five (5) minutes between the conclusion of one Game and the beginning of the next Game.

b) GameTV Bingo shall run a special feature game called Bingo Night In Canada ("BNIC") from 9:00 p.m. (EST) until 11:00 p.m. (EST) every Wednesday night beginning October 28th, 2009 and concluding December 30th, 2009, inclusive (each such two(2)-hour period being a "BNIC Game Period"). GameTV Bingo will be featured during each BNIC Game Period on the GameTV website and on-air on GameTV.

3. GAME PARTICIPATION AND WINNINGS:

a) In order to create an Account, you must log on to the website www.igametv.com, click the 'Play Bingo' button and complete and submit the entry form, found on the registration page, in its entirety. Only one (1) Account will be issued per email address / GameTV Bingo player. GameTV reserves the right to cancel, suspend or refuse to award Prizes (as defined below) to any GameTV Bingo player who is suspected of having more than one (1) Account (as determined by GameTV in its sole and absolute discretion). By creating an Account and registering to play GameTV Bingo, you agree to be bound by these GameTV Bingo rules.

b) In order to qualify for a chance to win a Game, you must: (i) log on to the website www.igametv.com, (ii) click the 'Play Bingo' button, (iii) log on to your Account, and (iv) redeem your GameTV Bingo points ("Points") to receive GameTV Bingo cards ("Cards") for the Game you wish to play. Details regarding the mechanics of redeeming Points for Cards are set out in Section 4, Points, below.

c) There will be three (3) weekly winners ("Weekly Winners") during each week of the Game Period (the period starting each Monday at 12:01 a.m. EST and ending each Sunday at 11:59 p.m. EST (a "Week")) and one (1) monthly winner ("Monthly Winner") during each month of the Game Period (the period starting at 12:01 a.m. EST on the first day of a calendar month and ending at 11:59 p.m. EST on the last day of a calendar month (a "Month")). The three (3) GameTV Bingo players who have accumulated the most Points in the most recent Week during the Game Period will be eligible to win the corresponding weekly prize. The GameTV Bingo player who has accumulated the most Points in the most recent Month during the Game Period will be eligible to be the Monthly Winner and win a Monthly Winner prize. In the event of a tie between more than one GameTV Bingo player for the Weekly Winners and/or Monthly Winner, there will be a random draw administered by GameTV to determine which GameTV Bingo player is eligible to receive the Weekly Winner prize or Monthly Winner prize, as the case may be.

d) In addition to the Weekly Winners and Monthly Winner, there will be a random draw at the end of each Week during the Game Period for a bonus winner ("Bonus Winner"). The random draw to determine which GameTV Bingo player is eligible to receive the Bonus Winner prize will be administered by GameTV. To be eligible for the random draw, an entrant must play ten (10) or more GameTV Bingo games during the previous Week.

e) Each Game completed during each BNIC Game Period will produce one (1) winner ("BNIC Bingo Winner"). The GameTV Bingo player who wins each Game (as described in Section 5, below) will be eligible to receive the corresponding prize for such Game (the "BNIC Prize"). Each BNIC Prize will be announced on-air on GameTV and on-line at www.igametv.com prior to each Game. In the event of a tie between more than one GameTV Bingo player for the BNIC Prize, there will be a random draw administered by GameTV to determine which GameTV Bingo player is eligible to receive the BNIC Prize for such Game.

f) In addition to the BNIC Prizes, there will be a random draw at the end of each BNIC Game Period for two (2) BNIC bonus winners ("BNIC Bonus Winner" and together with the BNIC Bingo Winner, Bonus Winner, Weekly Winner and Monthly Winner, the "Winners") who will be eligible to receive a BNIC bonus prize (the "BNIC Bonus Prize"). The random draw for the BNIC Bonus Prizes will take place thirty (30) minutes after each weekly BNIC Game Period concludes and will be administered by GameTV. The BNIC Bonus Winners will be announced on-line at www.igametv.com within one (1) hour of each weekly BNIC Game Period. To be eligible for the first random draw, an entrant must play at least one (1) or more GameTV Bingo games on-line at www.igametv.com/bingo during the relevant BNIC Game Period. To be eligible for the second random draw, an entrant must play at least one (1) or more GameTV Bingo games using their TV remote control on Bell TV (phone line required) during the relevant BNIC Game Period.

g) Weekly Winner prizes will consist of one hundred dollars ($100.00) cash for the top points getter, seventy five dollars ($75.00) cash for the GameTV bingo player with the second highest amount of points and fifty dollars ($50.00) cash for the GameTV bingo player with the third highest amount of points.

h) Monthly Winner prizes will consist of two hundred and fifty dollars ($250.00) cash.

i) Bonus Winner prizes will consist of twenty-five dollars ($25.00) cash.

j) BNIC Prizes and BNIC Bonus Prizes will consist of various items ranging in value from one hundred dollars ($100) to two thousand dollars ($2,000). Each BNIC Prize and BNIC Bonus Prize will be announced on-air on GameTV and on-line at www.igametv.com prior to each Game played during each BNIC Game Period. The Weekly Winner prizes, Monthly Winner prizes, Bonus Winner prizes, BNIC Prizes and BNIC Bonus Prizes shall be individually and collectively referred to as the Prizes". 4. POINTS:

a) Registration. Each GameTV Bingo player will automatically receive one thousand (1,000) Points upon registration deposited into his/her Account.

b) Attaining Cards. Five (5) Points can be traded for one (1) Card for each Game to a maximum of one hundred (100) Points, or twenty (20) Cards, per any one (1) Game. Cards need to be attained prior to the beginning of the Game for which they will be used and can only be attained in multiples of two (2) (i.e. 2 Cards, 4 Cards, 6 Cards, etc.). New Cards must be attained for each Game. There will be a count down clock on the GameTV Bingo website indicating how much time is remaining for a GameTV Bingo player to attain Cards for the next Game.

c) Winning Games. Each Game winner will automatically receive one thousand (1,000) Points. If a Game has more than one (1) winner, each of the winners will automatically receive one thousand (1,000) Points. Notwithstanding the foregoing, for every Game commencing between 9:00 p.m. (EST) and 9:59 p.m. (EST) during each weekly BNIC Game Period, the winners will receive two thousand (2,000) Points. For every Game commencing between 10:00 p.m. (EST) and 10:59 p.m. (EST) during each weekly BNIC Game Period, the winners will receive three thousand (3,000) Points.

d) Card Limits. GameTV Bingo players can attain Cards worth no more than five thousand (5,000) Points per each Game Day and twenty-five thousand (25,000) Points per rolling seven (7) day period. GameTV Bingo players may decrease these Card limits through their account management functions, but these Card limits may not be increased.

e) More Points. If a GameTV Bingo player has less than one hundred (100) Points in his/her Account, that GameTV Bingo player may click the 'More Points' button to receive five hundred (500) additional Points.

5. PLAYING GAMETV BINGO:

a) Each GameTV Bingo player's Card will be displayed on the GameTV Bingo player's computer screen for each Game. If the GameTV Bingo player is playing on-air during each BNIC Game Period, up to two (2) Cards will be displayed on-air (however, up to twenty (20) Cards may be played). For certainty, each Account enables a GameTV Bingo player to play either on-line or on-air (subject to the technical requirements set out in Section 5(f)(ii) below) at one time, but not both on-line and on-air at the same time.

b) Each Game will clearly set out the requirements for winning (i.e. straight line, pattern, etc.) and such requirements will be highlighted in orange on each Card (where there is only one pattern capable of winning, such as an 'X' pattern or a 'martini glass' pattern) or next to the Cards (where there are multiple patterns capable of winning, such as 'any line' or 'six pack'). The pattern necessary to win a Game will be randomly generated immediately in advance of each Game.

c) When each Game begins, random GameTV Bingo numbers will be called and displayed on-line every eight (8) to ten (10) seconds. If, during a weekly BNIC Game Period, there is a discrepancy between the GameTV Bingo number that is called by an on-air host and the GameTV Bingo number that appears to be called on-line, the on-line GameTV Bingo number shall be deemed to apply, and not the GameTV Bingo number called by the on-air host. These numbers will automatically be daubed on each active Card in green (unless the GameTV Bingo player opts-out of the auto-daub feature in which case he/she will have the ability to manually daub the called numbers). Choosing the manual daub feature will not affect the outcome of a Game as the GameTV Bingo player will be informed of his/her win even if he/she neglects to manually daub a called number on a Card. Each active Card will be automatically sorted so that the Card(s) that are closest to winning will appear on the top, left of the GameTV Bingo player's screen (unless the GameTV Bingo player opts-out of the auto-sort feature).

d) When a GameTV Bingo player achieves 'Bingo' by completing the applicable pattern for any Game, a message will be displayed on his/her screen indicating the win and the requisite amount of Points will automatically be credited to that GameTV Bingo player's Account. Each Game will end at this point. If a GameTV Bingo player is not informed that his/her Card(s) have won a Game, than he/she will not receive any Points for such Game.

e) The number of Games played in any Game Day depends on how long it takes for the first GameTV Bingo player to achieve 'Bingo' in any Game. On average, each Game will last between five (5) and ten (10) minutes.

f) During each BNIC Game Period, the rules for playing GameTV Bingo as stated above will remain the same, with the following exceptions:

(i) When a GameTV Bingo player achieves 'Bingo' during a BNIC Game Period by completing the applicable pattern for any Game, a message will be displayed on his/ her computer screen (if playing on-line) and on-air on GameTV, indicating the win.

(ii) GameTV Bingo players who receive GameTV on Channel 274 through Bell TV and who have an analogue phone line connected to their Bell TV set-top box may play GameTV Bingo during each BNIC Game Period by tuning into GameTV and using their TV remote control. GameTV Bingo players who choose to play GameTV Bingo on-air during each weekly BNIC Game Periods must still create an Account on-line and sign into their Account through their set-top box prior to playing GameTV Bingo on TV. GameTV players playing through their TV remote controls must use the auto-daub feature and will not be able to use the manual dob feature available on-line.

6. ODDS AND RANDOM DRAWS: The odds of a GameTV Bingo player achieving 'Bingo' in any Game depend on the number of GameTV Bingo players participating in that Game and the number of Cards each GameTV Bingo player is playing with. The odds of winning a Game during each weekly BNIC Game Periods are the same regardless of whether a GameTV Bingo player is playing on-line or on TV. If there are fewer than five hundred (500) Cards playing in any one (1) Game, GameTV will automatically generate up to ten (10) additional service players to participate in the Game so that the number of Cards being played in any one (1) Game shall be no less than five hundred (500). The random draws for the Prizes (as applicable) from the eligible GameTV Bingo players will be held in Toronto, Ontario after the completion of each BNIC Game Period, Week or Month, as needed. The random draws will be carried out by GameTV.

7. WINNERS: Each eligible Winner will be contacted within 48 hours from the time they are deemed to be eligible to be a Winner. Eligible Winners may be notified either by: (i) an initial telephone call during regular business hours (EST) at the home telephone number recorded on their Account; or (ii) an e-mail at the e-mail address provided on their Account. If the selected Winner cannot be reached within 48 hours from the time of initial contact, an alternative Winner may be selected in GameTV's discretion. It is the responsibility of each GameTV Bingo player to keep his/her Account information up to date at all times so that he/she can be contacted by GameTV if he/she is eligible to be a Winner.

Once contacted, eligible Winners must, in order to be declared eligible to receive a Prize (as the case may be):

(i) comply with all GameTV Bingo rules;

(ii) correctly answer a time-limited mathematical skill testing question (which will be administered at a pre-arranged time with the selected entrant) without the assistance of another person or mechanical device; and

(iii) sign GameTV's standard declaration of compliance with the GameTV Bingo rules, release and consent to publicity form (the "Consent"), which shall serve as the selected entrant's agreement to release and indemnify GameTV and its respective parent(s), subsidiaries, affiliates and/or related companies and each of their officers, directors, shareholders, employees, advisors, assignees, agents, licensees, representatives, advertising, media buying and promotional agencies from any liability in connection with GameTV Bingo and/or the Prizes. If GameTV does not receive a signed Consent back from an eligible Winner within five (5) days from the delivery of the Consent to such eligible Winner, then such eligible Winner shall forego any right or entitlement to a Prize.

8. ELIGIBILITY: GameTV Bingo is open to all residents of Canada, excluding residents of Quebec, who are the age of majority or older within the province in which they reside. The employees of GameTV and each of its officers, directors, shareholders, advisors, assignees, agents, licensees, representatives, advertising, media buying and promotional agencies and members of their respective immediate families or persons with whom any of the foregoing is domiciled are not eligible to play or win GameTV Bingo.

9. COMPLETE SET OF RULES: For an additional set of these GameTV Bingo rules and/or the names of Winners, send a written request by self-addressed, stamped envelope (ensure that sufficient postage is included) to The GameTV Corporation: 184 Pearl Street, Suite 302, Toronto, Ontario, M5H 1L5, Attention: GameTV Interactive Bingo, visit www.igametv.com or attend in person at the offices of GameTV at 184 Pearl Street, Suite 302, Toronto, Ontario, between 9:00 a.m. (EST) and 5:00 p.m. (EST), Monday through Friday (except holidays).

10. GENERAL RULES:

a) GameTV shall not be responsible for or bear any liability for: (i), unintelligible/illegible, incomplete, or misdirected registrations; (ii) GameTV Bingo players who fail to comply with these GameTV Bingo rules; (iii) GameTV Bingo players who fail to provide complete and accurate Registrant Information, or who fail to update their Registrant Information or Accounts; and (iv) any failure of the GameTV website or linear television channel (whether caused by GameTV or not) during the Game Period, including any problems or technical malfunction of any computer on-line systems, servers, access providers, computer equipment, software, failure of any registration to be received on account of technical problems or traffic congestion on the Internet, at any website, or television, or any combination thereof including any injury or damage to a GameTV Bingo player's or any other person's computer, television, television remote control or set-top box related to or resulting from downloading any material in GameTV Bingo, all of which may affect a GameTV Bingo player's ability to participate in GameTV Bingo.

b) GameTV reserves the right to cancel or suspend any portion of GameTV Bingo should a virus, bug or other cause beyond the reasonable control of GameTV corrupt the security or proper administration of GameTV Bingo. Any attempt to deliberately damage any website or to undermine the legitimate operation of GameTV Bingo is a violation of criminal and civil laws, and should such an attempt be made, GameTV reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

c) By playing GameTV Bingo, each of the Winners agrees that his/her name, residence, photograph, voice and/or image may be used in any and all forms of media, without any further compensation by GameTV and waives all rights (including moral rights) with respect to printed, broadcast and other forms of publicity. Written confirmation of the foregoing in the form of the Consent referred to above must be executed by each of the Winners and provided to GameTV prior to such Winner being declared eligible to receive a Prize.

d) Each GameTV Bingo player agrees that GameTV and its affiliates, officers, directors, shareholders, agents, representatives and employees and all others associated with the development and execution of GameTV Bingo shall have no liability and shall be held harmless in respect of any and all manner of action, causes of action, suits, debts, covenants, contracts, claims, and demands, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and liability for any physical injury, death or property damage which the GameTV Bingo player or his or her administrators, heirs, successors or assigns might have or could have, by reason or arising out of the GameTV Bingo player's participation in GameTV Bingo or in connection with the acceptance or, use or misuse, of a Prize.

e) GameTV Bingo is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations.

f) All GameTV Bingo players are subject to verification by GameTV and GameTV reserves the right to cancel and revoke any Account if it is found to be improper (as determined by GameTV in its sole discretion) or if the GameTV Bingo player is subsequently found not to be eligible pursuant to these GameTV Bingo rules.

g) In the event of unavailability of a stated Prize (or any portion thereof), GameTV, in its sole discretion, reserves the right to substitute a Prize of equal or greater value.

h) The Prizes are not transferable, not refundable, not redeemable for cash, will not be extended under any circumstances and must be accepted as offered. Any unused portions of any Prize will be forfeited and will have no cash value. Shipped Prizes shall not be insured and GameTV shall not assume any liability for lost, damaged, or misdirected Prizes.

i) By participating in GameTV Bingo, each GameTV Bingo players agrees to be bound by these GameTV Bingo rules and the decisions of GameTV in awarding the Prizes, which decisions shall be final and binding upon all GameTV Bingo players. Failure to comply with these rules may void a GameTV Bingo player's rights vis a vis the awarding of Prizes or otherwise. Interpretation of these GameTV Bingo rules by GameTV shall be final.

j) GameTV may terminate GameTV Bingo at any time and may amend these GameTV Bingo rules or administration of GameTV Bingo without notice in its sole discretion in any commercially reasonable manner.

k) In the event of a dispute as to who registered electronically for an Account, the registration will be deemed to have been submitted by the authorized account holder of the e-mail address submitted at the time of registration. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Selected GameTV Bingo players may be required to provide GameTV with proof that he/she is the authorized account holder of the e-mail address associated with the selected Account.

l) GameTV Bingo shall be governed in accordance with the laws of the Province of Ontario and the federal laws of Canada.
